Website Terms and Conditions

White-Label Merchant Processing Partner Landing Site

Effective Date AUGUST 1, 2026
Site Operator NOVAE, LLC
Website NOVAEPAYMENTS.COM
Important: These Terms govern use of the landing site and the submission of inquiries or merchant applications through the site. They do not replace the merchant processing agreement, program guide, pricing schedule, privacy notice, electronic communications consent, or other documents provided by the processor, acquiring bank, payment facilitator, gateway, or other service provider.

These Website Terms and Conditions (the “Terms”) are a binding agreement between you and Novae, LLC doing business as Novae Payments (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of novaepayments.com and any related pages, forms, content, communications, or online features that link to these Terms (collectively, the “Site”).

By accessing or using the Site, clicking an acceptance box or button, requesting information, or submitting a merchant application or related information through the Site, you acknowledge that you have read and agree to these Terms and our Privacy Policy at novaepayments.com/novae-payments-privacy. If you do not agree, do not use the Site or submit information through it.

1. Business Use; Authority

The Site is intended for lawful business and commercial use by persons who are at least 18 years old and capable of entering a binding contract. If you use the Site for a business or other legal entity, you represent that you are authorized to act for and bind that entity. In these Terms, “you” includes both the individual user and the business or entity on whose behalf the user acts.

2. Our Role and Important Relationship Disclosures

Company operates the Site under its own brand as an Independent Sales Organization in connection with merchant-processing products and services. Unless expressly stated otherwise in a separate written agreement, Company is not a bank, card network, acquiring bank, payment facilitator, money transmitter, or the entity that makes final underwriting, risk, pricing, reserve, funding, settlement, chargeback, or account-termination decisions.

Merchant-processing and related services may be provided by LACORE™ Enterprises, LLC, PayFacto Inc, and/or Community Federal Savings Bank, Member FDIC, payment networks, gateways, equipment vendors, independent sales organizations, or other third parties (collectively, “Processing Providers”). The identity and role of the applicable Processing Providers will be disclosed in the merchant application, merchant agreement, program guide, pricing schedule, or other applicable service documents.

No processing relationship created by Site use: Visiting the Site, requesting information, beginning an application, or submitting information does not create a merchant account, establish bank sponsorship, guarantee processing privileges, or obligate any party to approve or provide services.

3. Information Requests and Merchant Applications

You may use the Site to request information or begin or submit an application for merchant-processing or related services. You represent that all information and documents you provide are complete, current, accurate, and not misleading. You authorize Company and the applicable Processing Providers to use, transmit, and verify submitted information for sales, onboarding, underwriting, identity verification, fraud prevention, compliance, servicing, and other purposes described in the applicable Privacy Policy and service documents.

Additional authorizations, such as authorizations for credit inquiries, bank-account verification, beneficial-owner verification, tax-information verification, site inspection, or retrieval of third-party records, will apply only if separately disclosed and accepted where required. Do not upload full payment-card numbers, card verification values, passwords, private cryptographic keys, or other information the Site does not specifically request.

4. No Guarantee of Approval, Pricing, Funding, or Savings

All applications are subject to identity verification, know-your-customer and beneficial-ownership requirements, underwriting, risk review, prohibited-business rules, Processing Provider requirements, and applicable law. Approval may be denied, conditioned, delayed, suspended, or withdrawn. A Processing Provider may require additional documentation, transaction limits, rolling or fixed reserves, security deposits, delayed funding, personal guarantees, or other risk controls.

Any rate, fee, savings estimate, funding time, approval time, equipment offer, or product description shown on the Site is illustrative or promotional unless expressly identified as a binding offer. Actual pricing, terms, settlement timing, and availability depend on underwriting, business type, processing history, payment method, card type, transaction characteristics, equipment, integrations, and other factors. The controlling merchant agreement and pricing schedule supersede inconsistent Site content.

5. Separate Merchant and Service Agreements

If you are approved for services, you must enter into the agreements required by the applicable Processing Providers. Those agreements may include a merchant processing agreement, program terms, pricing schedule, ACH authorization, equipment or software terms, payment-network rules, privacy notices, electronic communications consent, and other disclosures (“Service Agreements”).

The Service Agreements—not these Terms—govern transaction processing, settlement and funding, fees, reserves, retrievals, chargebacks, ACH returns, refunds, data security, PCI DSS responsibilities, prohibited transactions, account holds, termination, and other processing-related rights and obligations. If these Terms conflict with a Service Agreement regarding processing services, the Service Agreement controls for that subject.

6. Third-Party Services and Integrations

The Site or services described on it may integrate with or link to third-party products, including gateways, shopping carts, point-of-sale systems, card networks, banks, identity-verification providers, credit bureaus, equipment providers, or software platforms. Third-party products are governed by their own agreements and privacy practices. Company does not control and is not responsible for third-party products, availability, security, performance, content, or acts or omissions, except to the extent expressly stated in a written agreement signed by Company.

7. Permitted Use and Limited License

Subject to these Terms, Company grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your internal business evaluation and lawful application for offered services. No other rights are granted.

8. Prohibited Conduct

You may not use the Site to:

  • violate any law, regulation, court order, payment-network rule, or third-party right;

  • impersonate another person or entity, misstate authority, submit fraudulent information, or conceal beneficial ownership or the true nature of a business;

  • introduce malware, attempt unauthorized access, bypass security controls, probe or scan the Site, interfere with operation, or impose an unreasonable load;

  • scrape, crawl, copy, frame, mirror, reverse engineer, decompile, or create derivative works from the Site except where applicable law expressly prohibits restriction;

  • use Site content, forms, branding, or data to compete with Company, solicit customers unlawfully, train an automated model without written permission, or send spam;

  • submit payment-card data, authentication credentials, sensitive personal information, or regulated data through a field not expressly designed to receive it; or

  • use the Site in connection with unlawful, deceptive, abusive, high-risk, or prohibited products, services, transactions, or activities.

9. Site Content; No Professional Advice

We seek to keep Site content useful and accurate, but content may be incomplete, outdated, or subject to change. Site content is general information and does not constitute legal, tax, accounting, financial, compliance, or payment-network advice. You are responsible for obtaining professional advice and determining whether any service is appropriate for your business.

10. Electronic Communications and Signatures

You consent to receive transactional communications relating to your inquiry, application, or Site use electronically at the email address or telephone number you provide, subject to applicable law and any separate consent presented to you. You agree that electronic records, notices, disclosures, and signatures may satisfy legal requirements for written communications and signatures to the extent permitted by applicable law.

Marketing emails, calls, and text messages are governed by any consent language presented at the point of collection and applicable law. Consent to marketing is not a condition of obtaining services unless clearly disclosed and legally permitted. You are responsible for keeping your contact information current and maintaining hardware and software capable of accessing electronic records.

11. Privacy, Cookies, and Data Security

Our collection, use, retention, and disclosure of personal information through the Site are described in our Privacy Policy at novaepayments.com/novae-payments-privacy. Processing Providers and other third parties may provide separate privacy notices that apply to information they receive. The Site may use cookies, pixels, analytics, session-replay tools, or similar technologies as described in our cookie notice or Privacy Policy.

12. Intellectual Property

The Site and its content—including text, graphics, logos, trademarks, service marks, designs, software, forms, compilations, and the selection and arrangement of content—are owned by Company, its licensors, or other rights holders and are protected by intellectual-property laws. Except for the limited license in Section 7, no right, title, or interest is transferred to you. You may not use any Company or Processing Provider name, logo, or mark without prior written permission from the applicable owner.

13. Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Site or services, you grant Company a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use and commercialize that feedback without restriction or compensation, provided Company does not publicly identify you as the source without permission.

14. Availability; Changes; Suspension

We may modify, suspend, restrict, or discontinue all or part of the Site at any time. We do not guarantee uninterrupted, timely, secure, or error-free access. We may block or terminate access if we reasonably believe you violated these Terms, created risk, submitted false information, or used the Site unlawfully. Sections that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnity, dispute, and miscellaneous provisions.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COMPANY AND ITS AFFILIATES, LICENSORS, PROCESSING PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT USE OF THE SITE WILL RESULT IN APPROVAL, SAVINGS, FUNDING, REVENUE, OR ANY PARTICULAR BUSINESS OUTCOME.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, LICENSORS, PROCESSING PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID COMPANY, IF ANY, SOLELY FOR ACCESS TO THE SITE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

17. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Company, its affiliates, licensors, Processing Providers, and their respective officers, directors, employees, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from or relating to: (a) your use or misuse of the Site; (b) information or content you submit; (c) your violation of these Terms, applicable law, or third-party rights; or (d) fraud, willful misconduct, or unauthorized acts by you or persons using your systems or credentials. Company may control the defense and settlement of any covered claim, and you will reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on an indemnified party without its prior written consent.

18. Governing Law; Venue; Time to Bring Claims

These Terms are governed by the laws of the State of Georgia without regard to conflict-of-law principles. Subject to any controlling Service Agreement, the state and federal courts located in Rockdale County, GA will have exclusive jurisdiction over disputes arising from or relating to the Site or these Terms, and each party consents to personal jurisdiction and venue there.

TO THE EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS MUST BE FILED WITHIN ONE YEAR AFTER THE CLAIM ACCRUES; OTHERWISE, THE CLAIM IS PERMANENTLY BARRED. Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or systems.

19. Changes to These Terms

We may update these Terms by posting the revised version on the Site and changing the Effective Date. Changes apply prospectively when posted unless a later date is stated. If required by law, we will provide additional notice or obtain consent. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

20. Miscellaneous

These Terms, together with the Privacy Policy and any additional Site terms expressly incorporated by reference, constitute the entire agreement between you and Company regarding the Site. Service Agreements separately govern processing and related services. If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Company’s failure to enforce a provision is not a waiver. You may not assign these Terms without Company’s written consent; Company may assign them in connection with a merger, reorganization, sale of assets, change of control, or by operation of law. Headings are for convenience only. “Including” means “including without limitation.”
